These Terms of Service ("Terms") constitute a legally binding agreement between you and Impact Yes, LLC, a Delaware limited liability company ("Impact Yes," "we," "our," or "us"), governing your access to and use of the GALA platform ("Platform"). By registering, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
GALA (Gap Analysis for Leadership Alignment) is a professional leadership diagnostic and development platform built on the Vector9 architectural framework. The Platform provides leadership assessments, 360-degree feedback tools, AI-generated coaching content, human values diagnostics, performance reports, issued certificates, and multi-language support for organizational leaders and their teams. All features and service offerings are subject to change at our sole discretion.
You must be at least 18 years of age and possess the legal capacity to enter into a binding contract to create an account on the Platform. You agree to provide accurate, current, and complete information during registration and to keep your profile information updated at all times. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
GALA offers account access via third-party OAuth providers including Google, LinkedIn, Microsoft, X (Twitter), GitHub, Apple, and Facebook. By using social authentication, you authorize Impact Yes to receive certain account information from those providers as permitted by their respective privacy policies. Your use of those services remains additionally governed by each third party's own terms of service and privacy policy, and Impact Yes assumes no liability for the practices of those providers.
You agree not to misrepresent, falsify, or manipulate any self-assessment data, 360-degree feedback responses, or rater invitations submitted through the Platform. You may not attempt to reverse engineer, decompile, or otherwise derive the source code, scoring logic, or algorithms underlying the Vector9 model. You may not use the Platform for any unlawful purpose, to transmit harmful or malicious content, or in any manner that could impair, damage, or overburden the Platform's infrastructure or the experience of other users.
The diagnostic accuracy of GALA's results depends entirely on the honesty and good faith of all participants. You agree to submit only truthful responses in all assessments and to invite only legitimate, correctly designated raters (manager, peer, or direct report) for 360-degree feedback exercises. Impact Yes reserves the right to flag and investigate submissions exhibiting statistical anomalies indicative of manipulation or collusion. IP addresses and browser user-agent metadata are collected exclusively on rater submissions for anti-fraud verification purposes.
The Vector9 model, its conceptual framework, scoring algorithms, output formats, visual design language, platform architecture, and all associated content are the exclusive intellectual property of Impact Yes, LLC, protected under United States copyright, trademark, and trade secret laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal organizational development purposes. You may not reproduce, distribute, license, sublicense, sell, publish, or create derivative works from any Platform content without the express prior written consent of Impact Yes.
GALA employs artificial intelligence services — including DeepSeek (primary LLM), Google Gemini (secondary LLM), Google Cloud Text-to-Speech, and Google Vertex AI (video generation) — to produce coaching summaries, gap analyses, growth path recommendations, daily nudges, audio feedback, and video content. All AI-generated outputs are provided for informational and developmental guidance purposes only and do not constitute professional psychological, medical, legal, or career advice. Impact Yes does not warrant the accuracy, completeness, or fitness of AI-generated content for any particular purpose, and you assume full responsibility for any decisions made in reliance on such content.
GALA may issue diagnostic certificates upon the completion of assessments. These certificates are records of participation and diagnostic outcomes within the Platform only. They do not constitute academic degrees, professional certifications, or credentials recognized by any licensing body, academic institution, or governmental authority. Impact Yes makes no representation as to the recognition or acceptance of GALA certificates by any third party.
GALA supports multi-tenant deployments, enabling organizations to operate white-labeled instances of the Platform under their own branding. If you access GALA through an organizational tenant, your organization's designated administrator may have access to your profile and assessment data as permitted under the agreement between Impact Yes and your organization. You are encouraged to consult your organization's administrator for details on their specific data governance practices.
Your use of the Platform is also governed by our Privacy Policy, which is hereby incorporated into these Terms by reference. By using the Platform, you consent to the collection, processing, and use of your information as described in the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy regarding data matters, the Privacy Policy shall govern.
We reserve the right to modify, suspend, or discontinue the Platform or any feature thereof at any time, with or without prior notice. We will make reasonable efforts to provide advance notice of material changes that affect core functionality. Impact Yes shall not be liable to you or any third party for any modification, suspension, or discontinuation of services, including any loss of data resulting therefrom.
Impact Yes may suspend or permanently terminate your access to the Platform immediately and without prior notice if you violate these Terms, submit fraudulent assessment data, or engage in conduct that we determine, in our sole discretion, is harmful to the integrity of the Platform or to other users. You may request account deletion at any time through your account settings or by contacting support@impactyes.com. Termination does not relieve you of obligations or liabilities that accrued prior to the date of termination.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IMPACT YES DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED CONTENT IS EXPRESSLY PROVIDED WITHOUT ANY WARRANTY OF ACCURACY, RELIABILITY, OR PROFESSIONAL SUITABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IMPACT YES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM. IN NO EVENT SHALL IMPACT YES'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO IMPACT YES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
You agree to defend, indemnify, and hold harmless Impact Yes, LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Platform; (c) your submission of fraudulent, false, or manipulated assessment data; or (d) your infringement of any third-party intellectual property or other rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located within the State of Delaware. You hereby consent to personal jurisdiction in, and the exclusive venue of, such courts.
Impact Yes reserves the right to amend these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes by posting the updated Terms on the Platform and, where reasonably practicable, by email notification to your registered address. Your continued use of the Platform after the effective date of the revised Terms constitutes your binding acceptance of those changes.
